A.Anthony Corporate assisted in the
negotiation of the investment into Screencast by Photoscan PLC. An
undisclosed sum was invested for a minority stake with additional
options.

Trafford Brake
Services (St Helens) Limited
A Anthony Corporate Limited were appointed to lead manage the disposal
of Trafford Brake Services (St Helens) Limited, a long established,
North West based, multi-site, hard parts distributor of commercial
vehicle components. Having previously structured the re-financing and
following acquisition programme for Trafford A Anthony were delighted to
be able to assist in the ultimate disposal of the group. The purchasers
GAU UK and Ireland Limited were represented by Martineau Johnson
solicitors and used their own in-house acquisition team. A Anthony were
lead advisors to Trafford who appointed DWFLiverpool to act as their
legal representatives. The deal was completed in March for an
undisclosed sum, the consideration being met in full on Day One.
Stockleys Sweets Ltd
A. Anthony Corporate advised
on the disposal of Stockleys one of the country's longest established
confectionary manufacturing businesses, based in North Lancashire The
Company was acquired by Mr Luckybags, a Midlands based confectioner, for
an undisclosed sum.
Process Engineering Services Ltd
A. Anthony Corporate successfully disposed of Process Engineering
Services Ltd to B.I. Industries Plc for an undisclosed sum. PES Ltd
became a subsidiary of Bi Support Services Ltd, which is owned by a
holding company, B.I. Industries Plc, a multi £M turnover business and
one of the UK's fastest growing engineering groups. PES Ltd is seen as
one of the leading specialists in engineering design supply and project
management to the brewing, diary, food, pharmaceutical and soft drinks
industries and this exiting new development is expected to strengthen
the company's position still further.
A. Anthony Corporate, Liverpool and Black
Norman & Co, Liverpool, advised the vendors. Drewry & Newbold,
Burton on Trent, advised the purchasers.
H.B. Tools (Ormskirk) Ltd
Has been acquired by Lloyd & Jones, a merseyside based
engineers' merchant. H.B. Tools is a specialist supplier of tungsten
carbide tools to the precision engineering sector with a turnover of £2
million and highly profitable. Lloyd & Jones have added a premium
product-related business into their fast growing empire of single source
supplier in industrial consumables.
The P.T.F.E. coatings division of George Wilkinson (Burnley) Ltd (Metalrax
PLC)
This highly specialised coatings business was non-core to the PLC's
clients operating division. A.Anthony were instructed to dispose of this
plant as a going concern thus preserving job security and continuity of
profit. This business was acquired by a Danish coatings group, Dansk
Silicon, for a cash consideration.
Intruder Detection Services Limited
Orbis PLC, the East Sussex based security services group acquired
I.D.S.Ltd, a security management service company based in Merseyside,
for up to £5.8 million which comprised £3.6 million cash, £1 million
in loan stock and £1 million in Orbis shares. The cash consideration
was financed by way of a three for ten rights issue at 40p per share to
raise £5.5 million, net of expenses.
HSBG Samuel Montogu, Collins Stewart and Travers Smith
Braithwaite advised Orbis. A.Anthony Corporate
Liverpool and Caplan Goodman & Co Liverpool advised the vendors. The
rights issue was underwritten by HSBG Samuel Montagu. Ernst & Young,
Manchester acted as reporting accountants.
Breck Jig & Tool Limited
This general machining and tool making facility on Wirral was disposed
by A.Anthony Corporate for an undisclosed sum.
RCL Components Limited
Based in North Wales and manufacturing radio frequency interference
suppression components with a turnover of £3.2 million, this business
was acquired by Assembly Contracts Limited of Manchester for an
undisclosed sum. A. Anthony were fully retained to dispose
of RCL Components Limited.
Patterns and Dies
Limited
This specialist patterns and dies manufacturer based in Stoke on Trent
was sold by A. Anthony in September '98. With a turnover of
approximately £1.3 million the company displayed excellent maintainable
earnings and was acquired by a management buy-in candidate for
£475,000.
Coldwell Engineering
Co. Limited
This long-established, highly profitable manufacturer of shrink wrapping
machinery was successfully sold to a management buy-in candidate for a
global consideration of £360,000.
Goodwin Electronic
Measuring Systems Ltd
This product related electronic engineering business was disposed of to
one of its major customers. Specialising in linear controls for the
machine tool /engineering sector they received a cash consideration with
the key employees being fully retained.
C.E. Edwards
Engineering Ltd
A long standing engineering company based in Stoke on Trent was acquired
by Denholm Rees O'Donnell, a Merseyside based engineering group for a
cash consideration.
Canteen Smithy
Engineering Co. Ltd
This highly specialised spark and wire toolmaker was disposed to a
buy-in candidate in January 1998. Based in North Lancashire this
business services a national client base with sales in excess of £1.3
million. The transaction was completed with the full support of debt
finance and structured and placed by A. Anthony Corporate.
C.W. Cheney
Limited - A. Anthony Corporate disposed of
C.W. Cheney Ltd, a product-related pressings and stampings business
based in Birmingham. The company was sold to a Management Buy-In
team by the Franzen Group of Germany for an undisclosed sum.
